Phase one

Preparation & Positioning

We build the foundation: an honest valuation, a compelling narrative, and a data room that holds up to scrutiny.

  • Valuation analysisWe analyse financials, normalise EBITDA and establish a defensible target valuation range.
  • Marketing materialsWe draft the anonymous Teaser and the Confidential Information Memorandum (CIM) that frames the growth story and the numbers.
  • Due diligence readinessWe set up the Virtual Data Room (VDR) and organise legal, tax and operational documents to remove surprises later.

Phase two

Buyer Outreach & Marketing

We take the opportunity to a curated universe of credible buyers, discreetly and on your terms.

  • Buyer identificationWe build a targeted list of logical acquirers: strategics, utilities, IPPs and private equity / infrastructure funds.
  • Controlled outreachWe distribute the Teaser, and release the CIM only once a buyer has signed a Non-Disclosure Agreement (NDA).
  • Indications of InterestWe manage a deadline for initial, non-binding bids (IOIs) detailing proposed valuation and deal structure.

Phase three

Management Meetings & Offers

We narrow the field to the strongest counterparties and drive competitive tension into binding terms.

  • Vetting the fieldWe help narrow IOIs to a shortlist of preferred buyers with the conviction and capital to close.
  • Management presentationsWe prepare the executive team and coordinate presentations that showcase the business to remaining buyers.
  • Letter of IntentWe run a second bidding round, then negotiate the selected LOI: price, structure and exclusivity.

Phase four

Diligence & Closing

We hold momentum through confirmatory diligence and the legal process, all the way to a signed, funded deal.

  • Confirmatory diligenceWe facilitate the buyer's final deep-dive into operations and financials while keeping the process on schedule.
  • Definitive agreementsWe work alongside your legal counsel to negotiate the Purchase Agreement and finalise deal terms.
  • Closing & transitionThe transaction is executed, documents signed, funds transferred, and the post-closing transition finalised.
